1. Acceptance of Terms

By accessing or using the WINYI INNOVATIONS website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

WINYI INNOVATIONS reserves the right to update or modify these terms at any time without prior notice. Your continued use of our services constitutes acceptance of any changes.

2. Our Services

WINYI INNOVATIONS provides professional web development, mobile app development, business systems, e-commerce solutions, and related digital services. Specific details of each service will be outlined in individual project agreements.

We reserve the right to modify, suspend, or discontinue any service at any time without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of services.

3. Client Responsibilities

When using our services, you agree to:

• Provide accurate, complete, and current information about your project
• Respond promptly to our requests for feedback, approvals, or information
• Provide all necessary materials, content, and access required for project completion
• Make timely payments as outlined in your project agreement
• Not use our services for any illegal or unauthorized purpose

4. Project Process

Our standard project process includes:

• Consultation: We discuss your requirements and provide a quote
• Agreement: Both parties agree on scope, timeline, and pricing
• Deposit: A 50% deposit is required to begin work
• Development: We build your solution with regular updates
• Review & Testing: You review and approve the work
• Final Payment & Launch: Remaining payment is due before launch

Timelines are estimates and may be affected by client feedback delays or unforeseen technical challenges.

5. Payment Terms

All prices are quoted in UGX (Ugandan Shillings) unless otherwise specified. Payment terms are as follows:

• Deposit: 50% of the total project cost is required before work begins
• Final Payment: Remaining 50% is due upon project completion and before final delivery
• Down Payment Plans: For larger projects, we offer milestone-based payment plans as agreed in writing
• Late Payments: Late payments may result in project delays or suspension of services

All payments are non-refundable once work has commenced, except as outlined in the refund policy section.

6. Refund Policy

We stand behind the quality of our work. If you are not satisfied with our services:

• We offer revisions within the scope of the original agreement at no additional cost
• If we fail to deliver as agreed, we will work to resolve the issue promptly
• Refunds are considered on a case-by-case basis and only before significant work has been completed
• Once a project is delivered and approved, no refunds will be issued

7. Intellectual Property

Ownership: Upon full payment, you own the final deliverables (website, app, or system) created specifically for your project. Source code and design files will be transferred to you upon project completion.

Our Rights: We retain the right to showcase completed projects in our portfolio unless you request otherwise in writing. We also retain ownership of any pre-existing code, libraries, or frameworks used in your project.

Third-Party Assets: Any third-party assets (images, fonts, plugins, etc.) used in your project are subject to their respective licenses.

8. Hosting & Maintenance

Hosting and maintenance services are optional and billed separately. If you choose to use our hosting services:

• We provide reliable hosting with regular backups and security updates
• We are not responsible for downtime caused by third-party hosting providers
• You are responsible for renewing your domain name registration
• Maintenance packages include bug fixes and security updates, but not major feature additions

9. Limitation of Liability

To the maximum extent permitted by law, WINYI INNOVATIONS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use our services
• Any conduct or content of any third party on our services
• Unauthorized access, use, or alteration of your content

Our total liability to you shall not exceed the amount you paid us for the specific service giving rise to the claim.

10. Disclaimer of Warranties

Our services are provided "as is" and "as available" without any warranties of any kind, either express or implied. We do not warrant that:

• Our services will meet your specific requirements
• Our services will be uninterrupted, timely, secure, or error-free
• Any errors in the services will be corrected

11. Indemnification

You agree to indemnify and hold harmless WINYI INNOVATIONS and its employees, contractors, and affiliates from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from:

• Your use of our services
• Your violation of these terms
• Your violation of any third-party rights
• Any content you provide to us

12. Termination

Either party may terminate a project agreement with written notice. If you terminate before project completion:

• You will be billed for work completed up to the termination date
• Deposits are non-refundable
• Delivered work will be provided upon payment of all outstanding invoices

We may suspend or terminate your access to our services if you violate these terms.

13. Governing Law

These terms shall be governed by and construed in accordance with the laws of Uganda. Any disputes arising under these terms shall be resolved exclusively in the courts of Kampala, Uganda.

14. Entire Agreement

These Terms of Service, together with any project agreements or invoices, constitute the entire agreement between you and WINYI INNOVATIONS regarding our services and supersede any prior agreements.
